MUSICBOX TERMS OF SERVICE
Effective Date: February 1st, 2026
These Terms of Service (“Terms”) form a legally binding agreement between you and MusicBox Labs LLC (“MusicBox,” “Company,” “we,” “us,” or “our”) governing your access to and use of the MusicBox platform, website, applications, APIs, and related services (collectively, the “Services”).
By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. ELIGIBILITY
You must be at least eighteen (18) years old to use the Services.
By using the Services, you represent and warrant that:
-
You are at least 18 years old.
-
You have authority to enter into this agreement.
-
If acting on behalf of an organization, you have authority to bind that organization.
2. NATURE OF THE SERVICES
MusicBox is a cloud-based technology platform that enables users to upload, store, and manage music and related metadata; utilize AI-powered search and catalog tools; create private or public playlists; share content via secure or public links; and discover music made available by other users.
MusicBox does not act as a publisher, label, or licensing agent; broker or negotiate licenses; verify ownership of uploaded content; or grant licenses in User Content.
All licensing and rights clearances occur directly between users and rights holders outside the platform. MusicBox is a technology platform only and does not participate in, supervise, or guarantee any transactions between users.
3. ACCOUNTS
You are responsible for maintaining the confidentiality of your login credentials, all activity under your account, and ensuring authorized users comply with these Terms.
You may not share accounts, use false identity information, or access systems you are not authorized to use.
We may suspend or terminate accounts for violations of these Terms.
Upon termination of a paid subscription, you will have thirty (30) days to export your User Content and associated metadata using available platform tools. After this period, MusicBox may delete such content in accordance with its data retention policies.
4. USER CONTENT
“User Content” means any audio, recordings, metadata, artwork, text, or materials uploaded to the Services.
You represent and warrant that you own or control all rights necessary to upload and share the content; your content does not infringe third-party rights; and your content complies with applicable laws.
MusicBox has no obligation to monitor User Content but reserves the right to remove or disable access to content that violates these Terms or applicable law.
You grant MusicBox a non-exclusive, worldwide, royalty-free license to host, store, process, display, and transmit User Content solely for purposes of operating and improving the Services.
MusicBox does not acquire ownership of User Content.
5. DOWNLOADS AND LIMITED LICENSE
Access to audio files or other content through the Services constitutes a limited, revocable, non-transferable license for internal evaluation purposes only and does not constitute a sale, transfer of ownership, or conveyance of intellectual property rights.
In accordance with applicable digital goods laws, including California AB 2426, you acknowledge that you are not purchasing or owning digital audio works through the Services. Access is licensed only and may be revoked if the applicable rights holder terminates MusicBox’s authorization to host such content.
Unless otherwise expressly agreed in writing by the applicable rights holder, downloads are strictly for internal evaluation only. No public performance, synchronization, broadcast, distribution, or commercial exploitation is permitted without proper licensing.
Users are solely responsible for securing appropriate licenses directly from rights holders. MusicBox is not responsible for unauthorized use of downloaded content.
6. PUBLIC PLAYLISTS AND SHARED LINKS
Users may create public or password-protected playlist links.
If you create such links, you are solely responsible for ensuring you have the right to share the included content and assume all legal responsibility for external distribution.
MusicBox does not control or monitor third-party access once content is shared. We reserve the right to disable public links at our discretion.
7. AI FEATURES
The Services utilize artificial intelligence solely for indexing, metadata enrichment, natural language search, and catalog management to assist in music discovery.
How It Works: MusicBox AI analyzes audio characteristics and associated metadata to suggest relevant tags, search results, and organizational improvements. The AI is designed to assist, not replace, human decision-making.
User Control: Users retain full authority to modify, override, or remove any AI-generated metadata within their accounts.
MusicBox does not generate new musical works, alter user audio files, or create derivative sound recordings. AI outputs may be incomplete or inaccurate and are provided for informational purposes only. MusicBox makes no warranties regarding AI-generated outputs.
Users are solely responsible for all business, creative, or licensing decisions made based on AI-assisted outputs. MusicBox does not use User Content, including uploaded audio files or metadata, to train artificial intelligence models. User Content is processed solely to provide platform functionality and is not used to train internal or third-party AI systems.
8. FEES, FREE TRIALS, AND CANCELLATION
Access to certain features requires a paid subscription.
New users may receive a free trial. Unless canceled before the trial ends, the subscription will automatically convert to a paid plan.
You may cancel your subscription or free trial at any time through your Account Settings. In compliance with applicable automatic renewal laws, MusicBox provides a direct online cancellation mechanism that is at least as simple as the sign-up process. Cancellation requests take effect immediately for future billing periods. No additional confirmation steps, support tickets, or retention barriers are required to complete cancellation.
Fees are non-refundable except as required by applicable law. We may modify subscription pricing with prior notice. Failure to pay may result in suspension or termination.
9. PROHIBITED USE
You may not upload infringing content; circumvent security measures; reverse engineer the Services; scrape or mine platform data; use the Services for unlawful purposes; or distribute malware or harmful code.
We may suspend or terminate accounts for violations.
10. TERMINATION
We may suspend or terminate your access if you violate these Terms.
Upon termination, your right to access ceases immediately. Subscription fees are not refunded. Sections relating to liability, indemnification, dispute resolution, and intellectual property survive termination.
11. DISCLAIMER OF WARRANTIES
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
MusicBox disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
12. LIMITATION OF LIABILITY
To the maximum extent permitted by law, MusicBox, its affiliates, officers, directors, employees, and contractors shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages.
MusicBox’s total aggregate liability shall not exceed the amount paid by you to MusicBox in the twelve (12) months preceding the claim.
13. INDEMNIFICATION
You agree to indemnify and hold harmless MusicBox and its officers, directors, and employees from claims arising from your User Content, your use of the Services, or your violation of these Terms.
14. DISPUTE RESOLUTION – BINDING ARBITRATION
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
The arbitration shall take place in Ventura County, California.
You agree that arbitration shall be conducted on an individual basis only. You waive any right to participate in class actions, consolidated proceedings, or jury trials.
Either party may bring an individual claim in small claims court where jurisdiction permits.
The arbitrator shall have exclusive authority to determine the scope, enforceability, and applicability of this arbitration provision.
You may opt out of arbitration within thirty (30) days of account creation by sending written notice to support@musicboxlabs.com.
These Terms are governed by the laws of the State of California.
15. GENERAL
These Terms constitute the entire agreement between you and MusicBox.
If any provision is unenforceable, the remainder remains in effect.
MusicBox may assign these Terms. You may not assign without consent.
The parties are independent contractors.
